Private Sector角度

sole trader

特点是：single owner，making all decision，keeping allprofit，unlimited liability

Partnership

特点是：partners是a group of individuals，shared decision－making

not possible to raise capital from selling shares

注意：这两种类型的公司比较small，都要承担unlimited liability，一般都属于labour－intensive的行业。

Private Limited company

特点是：shareholders是same family，不可以公开向thegeneral public来selling股票，只能selling shares给family members，年度的accounts要接受inspection。

Public Limited company

特点是：规模很large的有限责任公司，可以在stock exchange market上selling sharesto the general public，筹借资金finance时候有优势。

注意：这两种类型的公司都是承担limited liability，具有separatelegal identity，可以continuity...但是这两种公司的成立都需要legal formalities，商管主要考察Memorandum of Association和Articles of Association这两个文件。

Cooperatives

Public Sector角度

Public corporation

特点是owned and controlledby the state，central or localgovernment。

注意：国有企业的和上面的公司相比，差别在于profit不是major objective，可以是CSR等等。

Going Global角度

当公司不断的growth之后，可能会成为international business（A2内容）。要掌握：

Franchise

特点是：不属于legal structure，属于一种legal contract between two firms。

franchisee使用franchiser的successfulbusiness的name，logo and trading systems，有franchise licence fee，no choice ofsupplier，要严格执行franchiser的pricing rules...

Joint Venture

特点是：two or morebusinesses create a separate division on a particular project。

Subsidiary（branch）

Holding company

特点是：是一种diversified的business，但是centralised control on crucial issues，比方说investment...
